Terms and Conditions
BEFORE USING THE SERVICES PROVIDED BY STARBIEN SP. Z.O.O., PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS AGREEMENT.
1. Definitions
Company
Starbien Spółka z ograniczoną odpowiedzialnością, registered in Poland, with its registered office at Plac Bankowy 2/1309, 00-095 Warsaw, KRS: 0001140707, NIP: 5253026104, REGON: 540281067.
Starbien / Platform
Collectively refers to the Company, its website, mobile application, and all associated systems and services provided to users.
Customer / User
A natural person aged at least 18 years, who registers an account on the Platform, successfully completes identity verification (KYC), and agrees to these Terms and all applicable Company policies.
Virtual Asset / Cryptocurrency
A digital representation of value that is not issued or guaranteed by a central bank or public authority, and which can be digitally transferred, stored, or traded, such as Bitcoin (BTC), Ethereum (ETH), or similar assets.
Fiat Currency
Currency that is issued by a central bank or government authority and is recognized as legal tender.
Account
A user-specific interface established on the Platform for accessing services offered by StartBien.
Exchange Service
The functionality that enables Users to exchange fiat currencies for virtual assets and vice versa.
AML/CFT
Anti-Money Laundering and Countering the Financing of Terrorism, as implemented by the Company pursuant to Polish law and EU directives.
KYC (Know Your Customer)
The verification procedure used to identify and confirm the identity of Users, as required by law and the Company’s internal AML Procedure.
Fee
A commission or service charge applied to specific operations, as set forth on the Platform.
Deposit
A sum of fiat or virtual currency transferred by the User to Starbien in order to execute an exchange transaction.
2. Agreement and Acceptance
By accessing, browsing, or using any functionality of the Platform operated by Starbien Sp. z.o.o., whether through the website, mobile interface, or any other digital channel, the User expressly acknowledges that they have read, understood, and agreed to be legally bound by the present Terms and Conditions (“the Agreement”).
These include, but are not limited to, the following documents:
- Privacy Policy – defines the manner in which the Company collects, processes, stores, and protects personal data in accordance with GDPR and applicable Polish data protection laws.
- AML and CFT Policy – establishes the internal framework for Anti-Money Laundering and Countering the Financing of Terrorism.
- Whistleblower Policy – provides the structure and protections for confidential reporting of suspected breaches.
- Geoblocker Policy – defines the territorial restrictions applicable to the Platform.
- Cookies Policy – describes the use of cookies, analytics, and tracking technologies on the Platform.
3. Eligibility and Registration
To use the Platform, you must:
- Be at least 18 years of age.
- Have legal capacity to enter into binding contracts.
- Not be a resident of or located in a restricted jurisdiction (see Geoblocker Policy).
- Successfully complete the KYC verification process.
- Provide accurate, complete, and up-to-date information during registration.
Starbien reserves the right to refuse service, suspend, or terminate accounts at its sole discretion, particularly in cases of suspected fraud, AML violations, or breach of these Terms.
4. Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities conducted through your account.
- Notifying Starbien immediately of any unauthorized access or security breach.
Starbien is not liable for any loss or damage arising from your failure to protect your account information.
5. Services Provided
Starbien provides an online platform for the exchange of fiat currencies and virtual assets. Services may include:
- Cryptocurrency purchase and sale.
- Wallet integration and transaction facilitation.
- Customer support and account management tools.
Starbien reserves the right to modify, suspend, or discontinue any service at any time without prior notice.
6. Fees and Charges
All applicable fees are displayed on the Platform before you complete a transaction. Fees may include:
- Exchange fees.
- Withdrawal fees.
- Network or blockchain fees (third-party charges).
Starbien reserves the right to change its fee structure at any time. Changes will be communicated via the Platform or email.
7. Prohibited Activities
You agree not to:
- Use the Platform for any illegal purpose, including money laundering or terrorist financing.
- Provide false or misleading information during registration or KYC.
- Attempt to bypass geoblocking or security measures.
- Engage in market manipulation, fraud, or unauthorized automated trading.
- Upload malware, viruses, or otherwise interfere with Platform operations.
- Violate any applicable laws, regulations, or third-party rights.
Violation of these prohibitions may result in account suspension, termination, and legal action.
8. Limitation of Liability
To the fullest extent permitted by law, Starbien shall not be liable for:
- Loss of profits, revenue, or business opportunities.
- Indirect, incidental, or consequential damages.
- Cryptocurrency price volatility or market fluctuations.
- Delays or failures caused by third-party service providers or network issues.
- Unauthorized access to your account due to your failure to maintain security.
Our maximum aggregate liability shall not exceed the fees paid by you to Starbien in the 12 months preceding the claim.
9. Termination
Either party may terminate this Agreement at any time. Upon termination:
- You must cease using the Platform immediately.
- Pending transactions will be completed or canceled as appropriate.
- Starbien may retain your data as required by law (see Privacy Policy).
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of Poland. Any disputes shall be resolved through:
- Good-faith negotiation between the parties.
- Mediation, if negotiation fails.
- Litigation in the courts of Warsaw, Poland, if mediation is unsuccessful.
11. Changes to Terms
Starbien may update these Terms at any time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of the Platform after changes constitutes acceptance of the new Terms.
